Terms of Service

Last updated: 14 October 2026

Launch-phase draft for legal review. These terms describe how the platform is designed to work; they are not yet in force for real payments. Items in [square brackets] are completed before launch.

Summary

Cons2Go organises fixed-price expert services for businesses. Independent experts deliver them as Cons2Go's subcontractors and are professionally responsible for the content. You prepay one milestone at a time; approval (or 7 days of silence) is acceptance. All communication and documents go through the project workspace, whose record is the agreed evidence. Remedies are correction, another expert or a milestone refund, and Cons2Go's liability is limited to its retained fee.
1. Who we are and who the Platform is for

The Cons2Go platform ("Platform") is operated by [Legal entity name], [registered address], company registration no. [●], VAT no. [●] ("Cons2Go", "we", "us"). By using the Platform you agree to these Terms. If you use the Platform for a company, you confirm that you may bind that company.

The Platform is for businesses and professionals acting in the course of their business. It is not intended for consumers.

2. Roles: Cons2Go and independent experts

Cons2Go contracts with the client for the organisation and delivery of the ordered service. Cons2Go performs the service through independent, vetted professionals it engages as subcontractors ("Experts"). Experts are not employees, agents or representatives of Cons2Go and cannot bind Cons2Go.

Cons2Go's own tasks are: (a) organising the scope confirmation and assigning a qualified Expert; (b) providing the project workspace and keeping the project record; (c) invoicing and payment handling; (d) checking, before hand-in, that a delivery covers the agreed deliverables and format — a completeness check, not a review of the professional content; (e) assigning another Expert if the Expert becomes unavailable; and (f) handling disputes.

The professional content of deliverables — analyses, findings, opinions, recommendations and documents — is prepared by the Expert under the Expert's own professional responsibility. Cons2Go does not itself provide legal, tax, audit, investment or other regulated professional advice. Formal legal opinions are provided only where a licensed lawyer delivers them under the confirmed scope.

3. AI-generated briefs

Briefs are produced automatically and are a scoping aid only. They are not professional advice and may contain errors. The scope is confirmed by an Expert before any work or payment. Do not enter personal data, trade secrets or other confidential information into the brief builder. When AI scoping is enabled, the text you submit is processed by our AI provider (see the Privacy Policy).

4. Ordering, scope and price

Listed prices are launch prices for the standard scope, in EUR and excluding VAT. The service page states the deliverables, inclusions, exclusions, acceptance criteria, revision rounds and milestones.

After a booking request an Expert confirms the scope. Cons2Go then confirms the price in writing; at the listed price the booking is accepted, at a different price you receive a quote to accept. The confirmed scope and the accepted price form the order. Additional work is only added through a change request you accept.

5. Milestone payments

(a) You prepay one milestone at a time against a proforma invoice, by bank transfer. Work on a milestone starts after its payment is received. (b) Cons2Go holds the amount for a milestone until it is approved; the next milestone is invoiced after approval. (c) On approval, the amount for that milestone is released to the Expert, less the Cons2Go service fee.

This is a contractual arrangement between you and Cons2Go. It is not an escrow, trust or deposit service, and Cons2Go is not a bank or payment institution.

6. Project workspace and record

All communication about a project, the documents each party provides, and every hand-in, approval, change request and dispute take place in the project workspace. Each party receives a personal access link and keeps it confidential.

Workspace entries are time-stamped and linked by cryptographic hashes, and files are stored with their SHA-256 fingerprint. The parties agree that the workspace record is the primary evidence of what was provided, requested, delivered and approved, and when — without prejudice to any other evidence admissible under applicable law. Every party can download the record at any time.

Instructions, information or documents given outside the workspace do not change the scope and do not bind Cons2Go unless confirmed in the workspace. Information the client does not provide in the workspace is treated as not provided.

7. Hand-in, review and acceptance

When the Expert hands in a milestone, you review it against the acceptance criteria of the confirmed scope and, within 7 days, either approve it, request changes within the revision rounds, or open a dispute.

Approval — by confirmation in the workspace, or automatically 7 days after hand-in without a response — is acceptance of the milestone as conforming to the confirmed scope. After acceptance, claims about that milestone are limited to defects that could not reasonably have been found during the review and that are notified in the workspace within [30] days of acceptance.

8. Your responsibilities

You provide complete, accurate and timely information and documents through the workspace. Cons2Go and the Expert rely on them and are not responsible for consequences of information that is incomplete, inaccurate or late; delays on your side extend the timeline.

Deliverables support your decisions. Whether and how you use them, the decisions you take, their implementation, and any submission to authorities, banks, investors or other third parties remain your responsibility. Deliverables are prepared for your internal use and the purpose stated in the confirmed scope; third parties may not rely on them.

9. Remedies for non-conforming deliverables

If a milestone does not meet the acceptance criteria of the confirmed scope, your remedies, in this order, are: (a) correction by the Expert within the revision rounds; (b) re-performance by another Expert assigned by Cons2Go; and (c) if neither achieves conformity within a reasonable time, a refund of the amount paid for the affected milestone.

To the extent permitted by law, these are your sole and exclusive remedies for non-conforming deliverables.

10. Disputes

You may open a dispute in the workspace on any milestone that has not been approved. The milestone is then put on hold and automatic approval is suspended. Cons2Go reviews the confirmed scope, the hand-ins and the workspace record and records the outcome in the workspace: the project resumes, a remedy under section 9 is applied, or the amount not yet released is refunded. Amounts released for approved milestones are final, except as provided in sections 7 and 9 or by mandatory law.

11. Limitation of liability

[Draft — to be confirmed by counsel under the governing law.]

(a) Cons2Go is not liable for: indirect or consequential loss; loss of profit, revenue, business, goodwill or data; fines, penalties or sanctions imposed on you by any authority; outcomes that depend on third parties, such as loan approvals, investments, licences or sales; the consequences of your decisions or of using deliverables beyond their stated purpose; the consequences of incomplete or inaccurate information you provided; or AI briefs used without Expert confirmation.

(b) Beyond the remedies in section 9, Cons2Go's total liability arising out of or in connection with an order — in contract, tort or otherwise — is limited to the service fee Cons2Go retained on that order (the amounts paid less the amounts paid to the Expert).

(c) Claims must be notified in the workspace or in writing within [6] months of acceptance of the last milestone of the order.

(d) At your request, Cons2Go assigns to you its claims against the Expert concerning the affected deliverable, to the extent they are assignable.

(e) Nothing in these Terms limits or excludes liability that cannot be limited or excluded by law, including liability for intent or gross negligence.

12. Experts and non-circumvention

Experts are independent professionals vetted by Cons2Go (identity, qualifications, track record and a case interview). Neither clients nor Experts may arrange work introduced through the Platform outside it for 12 months after the introduction, unless Cons2Go agrees in writing.

13. Fees

Clients pay the service price only; there are no separate client fees. Experts pay a service fee of 20% on each released amount; there are no subscriptions. We give at least 30 days' notice of fee changes.

14. Intellectual property and confidentiality

Rights in the deliverables of a milestone pass to the client once that milestone has been approved and paid. Experts may keep general know-how and anonymised templates. Cons2Go retains all rights in the Platform, the brief builder and the service catalogue. Cons2Go and the Experts keep the client's information confidential and use it only for the project.

15. Acceptable use

You may not use the Platform to submit unlawful, misleading or infringing content, to attempt to extract or reverse-engineer the AI system or its instructions, to interfere with the Platform's security, or to launder money or evade sanctions.

16. Data protection

We process personal data as described in the Privacy Policy. Workspace content is retained for the period required for accounting and evidence purposes [period to be confirmed].

17. Governing law

[Governing law and competent courts to be confirmed for the operating entity.]

18. Changes

We may update these Terms with at least 30 days' notice for material changes. Orders already accepted continue under the Terms in force when they were accepted.
