Expert Agreement
Last updated: 14 October 2026
Launch-phase draft for legal review. These terms describe how the platform is designed to work; they are not yet in force for real payments. Items in [square brackets] are completed before launch.
Summary
You deliver as Cons2Go's independent subcontractor and keep 80% of each approved milestone, paid after approval and client payment. You are professionally responsible for your deliverables, including AI-assisted drafts, and your liability towards Cons2Go is back-to-back, capped at your fees for the project (with standard exceptions). All client communication and documents go through the project workspace.1. Parties and status
This Agreement is between [Legal entity name], [registered address], company registration no. [●], VAT no. [●] ("Cons2Go") and the independent professional delivering services through the Platform ("Expert"). Cons2Go contracts with clients and engages the Expert as a subcontractor for each accepted project.
The Expert acts as an independent business — not as an employee, agent or partner of Cons2Go — uses their own means, is responsible for their own taxes and social contributions, and cannot bind Cons2Go towards clients or third parties.
2. Accepting a project
Projects are offered with a scoped brief and milestones. Before the client is invoiced, the Expert confirms feasibility, scope and acceptance criteria, or proposes a different price or scope; declares any conflict of interest; and confirms holding any licence or qualification the service requires.
Work on a milestone starts only after the client has prepaid it. If more work is needed, the Expert says so in the workspace before doing it; Cons2Go offers it to the client as a change request.
3. Professional responsibility
The Expert prepares deliverables under their own professional responsibility and is responsible for their accuracy, for compliance with the professional standards and laws that apply to the Expert, and for any part first drafted with AI tools. The Expert reviews all AI output, uses only AI tools approved by Cons2Go for client information, and states the main assumptions and limitations in each deliverable.
The Expert does not provide services that require a licence they do not hold (for example, formal legal opinions or representation). Cons2Go's completeness check before hand-in does not reduce the Expert's responsibility for the content.
4. Project workspace
The Expert communicates with the client and exchanges all documents and hand-ins only through the project workspace, and keeps their access link confidential. The workspace record is the agreed primary evidence of what was provided and when. The Expert does not move project communication or work outside the workspace.
5. Remuneration
For each approved milestone the Expert receives the milestone amount less the Cons2Go service fee of 20%. There is no subscription.
A milestone is approved when the client approves it, or automatically 7 days after hand-in if the client neither approves, requests changes nor opens a dispute. Corrections within the revision rounds are included in the fee.
6. Payouts and invoicing
Cons2Go pays the fee for a milestone after the milestone is approved and the client's payment for it has been received, in EUR by SEPA bank transfer. The Expert invoices Cons2Go for each payout. Cons2Go may withhold the fee for a milestone in dispute until the dispute is resolved.
7. Liability towards Cons2Go (back-to-back)
[Draft — to be confirmed by counsel.]
The Expert is liable to Cons2Go for refunds, re-performance costs, losses and claims that Cons2Go incurs towards a client or third party because of the Expert's deliverables, negligence or breach of this Agreement. If Cons2Go must assign another Expert because of the Expert's failure, no fee is payable for the affected milestone.
Except for intent, gross negligence, breach of confidentiality or data protection, and infringement of third-party rights, this liability is limited to the total fees payable to the Expert for the project concerned. Cons2Go may set off amounts owed under this section against fees not yet paid.
8. Insurance
[Draft.] The Expert holds professional indemnity insurance appropriate to the services they deliver where their professional rules require it, and for any project where Cons2Go requires it; proof is provided on request.
9. Cons2Go's liability towards the Expert
Cons2Go's liability towards the Expert is limited to fees due and unpaid under this Agreement, except where the law does not allow such a limitation.
10. Confidentiality, data and conflicts
The Expert keeps client information confidential, uses it only for the project, follows data-protection law and Cons2Go's instructions for personal data, and declares any conflict of interest as soon as it arises.
11. Intellectual property
On payment of each milestone fee, the Expert transfers to Cons2Go (for transfer to the client) the rights in the deliverables of that milestone, and confirms they do not infringe third-party rights. The Expert keeps their general know-how and pre-existing templates and grants the licence needed to use them in the deliverables.
12. Non-circumvention
The Expert does not contract directly with a client introduced through the Platform for 12 months after the introduction, unless Cons2Go agrees in writing.
13. Term and termination
Either party may end this Agreement with 30 days' notice. Projects already accepted are completed and settled under this Agreement. Cons2Go may end it immediately for a serious breach, including working outside the workspace with a Platform client.
